Head of Company Secretary

Head of Company Secretarial | Senior Governance / CoSec Professional | International Law Firm | Birmingham/Hybrid working BCL Legal is pleased to be assisting a leading international law firm in its recruitment of a Head of Company Secretarial to join and lead its Birmingham-based governance team. This is a strategic leadership opportunity offering high levels of autonomy, client exposure and genuine scope to shape and grow the firm's wider company secretarial offering. Flexible and hybrid working are available alongside a competitive salary and benefits package. The Role As Head of Company Secretarial, you would:

• Lead and develop the firm's established Company Secretarial function, managing a team that advises UK and international clients on a broad range of governance and compliance matters.
• Work closely with the firm's highly regarded corporate practice as well as other specialist teams including real estate, employment and commercial.
• Act as a senior adviser to clients on complex governance matters including director duties, conflicts of interest, governance frameworks, Companies Act compliance and ECCTA-related issues.
• Oversee company secretarial matters including board and shareholder resolutions, statutory filings, PSC enquiries, governance policies and reconstruction of statutory registers.
• Play a key role in the strategic growth of the team, identifying opportunities to expand service lines, improve efficiency and enhance the use of legal technology.
• Support partners on business development initiatives, client pitches and cross-selling opportunities.
• Mentor, supervise and develop junior members of the team while fostering a collaborative and commercially focused culture.

About You To be successful in your application for this Head of Company Secretarial vacancy, you will have:

• Significant experience in a senior company secretarial, governance or corporate role gained within private practice, professional services or potentially an in-house environment.
• Strong technical knowledge of the Companies Act 2006 and UK corporate governance frameworks.
• Experience advising on complex governance and company secretarial matters.
• Previous team management or supervisory experience.
• Strong commercial awareness and the ability to manage client relationships effectively.
• Excellent communication and stakeholder management skills.
• CGI/ICSA qualification or equivalent experience would be advantageous but is not essential.
